You’ve invested in AI literacy programs, internal “AI universities,” and prompt engineering workshops. Teams know how to use large language models, spin up pilots, and pass certification tracks. Yet the transformation is stuck: pilots don’t become business-as-usual, and promising innovations never scale beyond experiments. The subtle but deadly error is this: you’ve solved for capability without solving for authority. Skills answer “can we do this?” Decision rights answer “who gets to decide if we actually do this, and on what terms?”


The skills trap: when training becomes a cul‑de‑sac

The first wave response to generative AI was rational: if employees lack AI fluency, train them. Many organizations have followed the McKinsey-style progression of literacy, adoption, and domain transformation—teaching foundational concepts, embedding tools into workflows, and reimagining functions around AI.

But when you only pull the training lever, you create AI‑skilled individuals inside an organization that has never defined who decides when, how, and why AI influences critical decisions. You get impressive course completion metrics and LinkedIn badges, but no clear line of sight from “we can use AI” to “we are accountable for the decisions AI shapes.” You’ve solved for “can,” but left “who decides” and “on what basis” completely open.


The authority shift: how decisions quietly migrate to machines

In this environment, a pattern emerges. The model makes a recommendation. A human “reviews” it. Because the output feels objective—rooted in data, math, and machine learning—they accept it without truly deciding. The system’s computational aura quietly overrides human judgment.

The dangerous part is invisible: decision authority migrates. Not through a governance vote or a policy memo, but through thousands of micro‑decisions where people defer to the model. When something eventually breaks—and it will—nobody can answer basic questions: Who actually approved this? Who had the right to override the AI? Who could have shut it down? The default response becomes, “the model decided,” which fails legally, ethically, and operationally.


Governance theater: all the right words, none of the real ownership

This is how you end up in governance theater: the illusion of control without actual decision clarity. You see:

  • Policies describing AI oversight that no one enforces in real workflows.

  • Slideware about “accountability” that evaporates the moment a high‑stakes decision is on the line.

  • Governance committees that meet, review, and “note” risks—but have no authority over day‑to‑day AI decisions.

  • System failures where everyone points to the algorithm and no one steps up as the accountable owner.

The operational risk is obvious. When a hiring model discriminates, who owns the remediation? When an AI‑supported credit decision harms a customer, who is accountable for the decision and the controls around it? When a forecasting model drives a major strategic bet that goes sideways, who was responsible for explaining the model’s limits before deployment? In most governance‑theater organizations, the honest answer is: nobody with clearly defined ownership.


Why this is bigger than operations: the liability frontier

Move this forward a few years. A driverless Uber hits a pedestrian. Who is responsible? The car manufacturer? The software provider? The platform operating the service? The passenger in the vehicle? Courts and regulators are already wrestling with variants of this question in autonomous vehicles, healthcare, and financial services, and their decisions will shape how AI accountability is interpreted across every industry.

Your organization will not be exempt from this scrutiny. The only credible defense is clarity: for every AI‑touched decision, you must know who owns it, who can override it, and who is on the hook when it fails. Without that clarity, you are asking your legal, compliance, and risk teams to defend “the model decided” in front of regulators, customers, and possibly judges.


The missing fourth dimension: governance

McKinsey and others describe AI capability building along three dimensions:

  • Literacy: baseline fluency across the organization.

  • Adoption: embedding tools into roles and workflows.

  • Domain transformation: reimagining entire business areas around AI.

All three matter. But none of them answer the governance question. You can have high literacy, strong adoption, and bold domain transformation and still have no clarity about who decides. Governance is not a capability layer—it is an authority layer. And authority has to be explicitly designed, not implicitly assumed.


What real governance actually requires

Moving from governance theater to real governance means doing the unglamorous work of specifying decision rights for every AI‑touched decision. For each use case, you should be able to answer:

  • Who owns the decision? Not who is influenced by it—who is accountable for it.

  • What authority does the AI have: recommend, decide, or constrain options?

  • Under what conditions can a human override the system, and who has that authority?

  • What happens when the system fails: who is responsible for remediation and communication?

  • How will you audit outcomes and iteratively improve the model and controls over time?

These questions rarely appear in your AI literacy curriculum or hackathon agenda. They don’t trend on social. But they are the difference between AI that compounds enterprise value and AI that compounds risk.


The path out of Decision Error #2

You can continue to invest in training, build internal academies, and deepen expertise in prompt engineering and model usage. None of that is wrong. But without explicit decision‑rights design, you don’t have transformation—you have governance theater at scale.

Governance determines whose decisions are accelerated, where authority sits when judgment is required, and whether you can defend your choices under regulatory, legal, or public scrutiny.
